BARCODE BOOTCAMP
CAMPUS AMBASSADOR AGREEMENT
Version 1.0 — Initial Production Agreement
This Campus Ambassador Agreement (“Agreement”) is entered into between Barcode Bootcamp (“Barcode” or “Company”) and the individual electronically accepting this Agreement (“Ambassador”). This Agreement becomes effective upon Ambassador’s electronic acceptance and activation of the Ambassador account.
1. PURPOSE AND APPOINTMENT
1.1. Barcode operates a bar examination preparation program offering live, interactive instruction and related educational services.
1.2. Barcode appoints Ambassador on a nonexclusive basis to promote Barcode’s programs to prospective students, including students attending Ambassador’s law school and members of Ambassador’s professional and personal networks.
1.3. Ambassador may share approved promotional materials, referral links, discount codes, and information concerning Barcode’s programs.
1.4. This appointment does not authorize Ambassador to enter contracts, make representations or guarantees, incur obligations, or otherwise bind Barcode.
1.5. Ambassador is not required to achieve a minimum number of referrals or enrollments.
2. INDEPENDENT CONTRACTOR RELATIONSHIP
2.1. The parties intend that Ambassador participate as an independent contractor and not as an employee, partner, joint venturer, franchisee, or legal representative of Barcode. The parties’ relationship will be classified in accordance with applicable law.
2.2. Ambassador determines the manner, timing, and methods of promotional activities, subject to this Agreement and applicable law.
2.3. Ambassador is not entitled to employee benefits, workers’ compensation coverage, unemployment benefits, or other benefits ordinarily provided to employees, except as required by applicable law.
2.4. Ambassador is responsible for applicable taxes arising from compensation received under this Agreement. Barcode may request appropriate tax documentation and issue required tax information returns.
2.5. Ambassador is responsible for expenses incurred in performing promotional activities unless Barcode expressly agrees otherwise in writing.
3. REFERRAL PROGRAM AND ATTRIBUTION
3.1. Upon activation, Barcode will provide Ambassador with a unique referral code, referral link, or both.
3.2. A referral is attributed to Ambassador when a prospective student completes an eligible full-access enrollment using Ambassador’s assigned referral code or a referral link that successfully records that code.
3.3. Merely sharing a referral link, generating website traffic, or referring an individual who does not complete an eligible full-access enrollment does not create an entitlement to compensation.
3.4. Ambassador is responsible for providing prospective students with the correct referral information.
3.5. Unless Barcode expressly approves an exception in writing, referrals cannot be reassigned retroactively after enrollment.
3.6. A student enrollment may be credited to only one ambassador. Barcode will resolve competing attribution claims in good faith using available transaction and referral records.
3.7. Ambassador may not receive compensation for self-referrals, fabricated enrollments, unauthorized transactions, or referrals involving fraudulent or misleading conduct.
4. QUALIFYING ENROLLMENTS
4.1. A “Qualifying Enrollment” means a purchase of the full-access Barcode Bootcamp bar examination preparation program that satisfies all of the following conditions:
(a) The enrollment is properly attributed to Ambassador;
(b) The student completes the required tuition payment;
(c) The enrollment payment successfully clears;
(d) The applicable fourteen (14) calendar-day refund period has expired without the student canceling the enrollment and receiving a refund;
(e) The payment has not been refunded, reversed, charged back, or otherwise invalidated; and
(f) The enrollment complies with this Agreement and applicable program rules.
4.2. Only full-access Barcode Bootcamp enrollments qualify for commissions, milestone bonuses, and complimentary Bootcamp access.
4.3. Purchases of single-session credits, individual classes, limited-access offerings, or other products that do not provide full program access are excluded.
4.4. A referral remains pending until all conditions for a Qualifying Enrollment are satisfied.
4.5. Pending referrals do not count toward earned commissions, milestone bonuses, or complimentary bar preparation.
4.6. If a referred student cancels enrollment and receives a refund within the applicable fourteen-day refund period, the pending commission is forfeited, and the enrollment does not count toward any milestone.
4.7. The fourteen-day period begins on the date of the student’s completed purchase, subject to the refund policy applicable to that purchase. If the applicable policy provides a longer refund period, qualification will not occur before that longer period expires.
5. BASE COMMISSIONS
5.1. Ambassador earns a commission of $100 for each Qualifying Enrollment.
5.2. There is no numerical cap on the number of Qualifying Enrollments for which Ambassador may earn base commissions.
5.3. Commissions are earned only after an enrollment satisfies Section 4.
5.4. Commissions are not payable for pending, refunded, reversed, or disqualified enrollments.
5.5. Commission earnings and payment status will be reflected in Ambassador’s account, subject to administrative verification and reconciliation.
6. MILESTONE CASH BONUSES
6.1. In addition to base commissions, Ambassador may earn the following one-time milestone bonuses: 5 cumulative Qualifying Enrollments: $200; 10 cumulative Qualifying Enrollments: $300; 20 cumulative Qualifying Enrollments: $500.
6.2. Each milestone bonus is earned only once during Ambassador’s participation in the program.
6.3. Milestone bonuses are cumulative. An Ambassador reaching twenty (20) Qualifying Enrollments will have earned a total of $1,000 in milestone bonuses, in addition to applicable base commissions.
6.4. Milestone progress is calculated using cumulative Qualifying Enrollments, not pending referrals or total referral-link activity.
6.5. Refunds, reversals, or disqualifications identified after initial qualification may require correction of milestone calculations.
6.6. Ambassador is not required to reach a higher milestone to receive a previously earned lower-tier bonus.
7. COMPLIMENTARY BAR PREPARATION BENEFIT
7.1. Upon reaching ten (10) cumulative Qualifying Enrollments, Ambassador earns complimentary full access to the Barcode Bootcamp bar examination preparation program.
7.2. The standard program value of this benefit is $1,500.
7.3. Complimentary access is a noncash reward and does not increase Ambassador’s cash commission or milestone bonus entitlement.
7.4. The benefit is earned only once during Ambassador’s participation in the program.
7.5. Complimentary access is not transferable, assignable, or redeemable for cash, tuition reimbursement, or any other monetary payment.
7.6. The benefit applies exclusively to Barcode Bootcamp’s full-access bar examination preparation program and does not constitute law school tuition, university financial aid, or payment of educational expenses to a law school.
7.7. Eligibility remains subject to verification of the underlying Qualifying Enrollments and compliance with this Agreement.
8. COMMISSION PAYMENTS
8.1. Ambassador will be paid earned commissions and milestone bonuses once the underlying enrollment payments have successfully cleared and the applicable refund periods have expired, subject to the verification and payment requirements of this Agreement.
8.2. Payments are subject to verification that the underlying enrollments satisfy the requirements for Qualifying Enrollments under Section 4.
8.3. Payments will be processed through Barcode’s designated payment provider, currently Stripe Connect, or another payment method designated by Barcode.
8.4. Ambassador must complete any required payout onboarding, identity verification, and tax documentation before receiving payment.
8.5. Barcode may withhold or adjust payments in cases of refunds, chargebacks, fraudulent transactions, disputed referrals, or other circumstances affecting eligibility.
8.6. If compensation has been paid on an enrollment subsequently refunded, reversed, charged back, or determined to be ineligible, Barcode may offset the overpayment against future compensation, subject to applicable law.
8.7. Upon reasonable request, Barcode will provide Ambassador with an explanation of material compensation adjustments.
9. AMBASSADOR RESPONSIBILITIES AND MARKETING STANDARDS
9.1. Ambassador agrees to promote Barcode honestly, professionally, and in good faith.
9.2. Ambassador must accurately describe Barcode’s programs, pricing, schedules, refund policies, and educational services.
9.3. Ambassador may not guarantee that any student will pass a bar examination or achieve a particular score.
9.4. Ambassador must clearly disclose the existence of the financial referral relationship when recommending or endorsing Barcode, including in social media posts and other promotional communications where disclosure is required by law.
9.5. Ambassador may not use misleading testimonials, false scarcity claims, deceptive advertising, spam, or unauthorized representations.
9.6. Ambassador must comply with applicable laws, regulations, law school policies, and reasonable written brand guidelines provided by Barcode.
9.7. Ambassador may not represent that a law school, university, bar examiner, or other institution officially endorses Barcode unless that institution has expressly authorized the representation.
10. REFERRAL DISCOUNTS AND PROMOTIONAL PRICING
10.1. Barcode may make promotional pricing available to students enrolling through authorized ambassador referral codes.
10.2. Promotional prices, including the ambassador-exclusive $749 full-access enrollment offer, are subject to availability and the terms communicated by Barcode.
10.3. Barcode may activate, suspend, modify, or discontinue promotional offers prospectively.
10.4. Ambassador must not advertise a promotional price that Barcode has identified as unavailable or suspended.
10.5. Unless Barcode expressly provides otherwise in writing, the temporary suspension of a promotional discount does not invalidate an otherwise eligible referral properly attributed to Ambassador.
10.6. Ambassador’s base commission remains governed by Section 5 regardless of the eligible student’s enrollment price, unless the parties expressly agree to different compensation terms in a signed amendment.
11. CONFIDENTIALITY AND STUDENT PRIVACY
11.1. Ambassador must maintain the confidentiality of nonpublic business information, student information, referral records, and other confidential information obtained through participation in the program.
11.2. Ambassador may use confidential information solely for authorized activities under this Agreement.
11.3. Ambassador may not sell, disclose, or distribute student information to unauthorized third parties.
11.4. Barcode may limit the personal information displayed in the Ambassador Portal to protect student privacy.
11.5. These confidentiality obligations survive termination of this Agreement.
12. INTELLECTUAL PROPERTY AND BRAND USAGE
12.1. Barcode retains all ownership rights in its trademarks, logos, educational content, website materials, and other intellectual property.
12.2. Barcode grants Ambassador a limited, nonexclusive, revocable license to use approved promotional materials solely for authorized activities under this Agreement.
12.3. Ambassador may not modify Barcode’s trademarks, create unauthorized advertisements implying institutional endorsement, or use Barcode’s intellectual property for unrelated commercial purposes.
12.4. Upon termination, Ambassador must discontinue unauthorized use of Barcode’s branding and promotional materials.
13. TERM AND TERMINATION
13.1. This Agreement becomes effective upon electronic acceptance and activation of Ambassador’s account.
13.2. Either party may terminate this Agreement upon written notice to the other party.
13.3. Barcode may immediately suspend or terminate Ambassador’s participation for fraud, material misrepresentation, misuse of confidential information, violation of applicable law, or material breach of this Agreement.
13.4. Termination does not eliminate Ambassador’s entitlement to compensation properly earned before the effective termination date.
13.5. Referrals properly attributed before termination that subsequently become Qualifying Enrollments remain eligible for compensation, provided the referrals were legitimate and otherwise satisfy this Agreement.
13.6. Pending commissions remain conditional upon the underlying enrollment payments clearing and the applicable refund periods expiring. If a referred student cancels enrollment and receives a refund during the applicable period, the pending commission is forfeited.
13.7. Ambassador is not entitled to commissions for new referrals generated after termination.
13.8. Provisions concerning accrued compensation, confidentiality, intellectual property, and other obligations intended to survive termination will remain effective.
14. PROGRAM MODIFICATIONS
14.1. Barcode may revise operational procedures, promotional materials, and future program offerings upon reasonable notice.
14.2. Changes to commission rates, milestone thresholds, or other material compensation terms will apply prospectively only, unless the parties expressly agree otherwise in writing.
14.3. A materially revised agreement will be published as a new version and presented for electronic acceptance before the revised terms become binding on Ambassador.
14.4. Each electronically accepted agreement version will be preserved with its associated acceptance record.
14.5. Previously earned compensation will not be retroactively reduced by a subsequent program amendment.
15. ELECTRONIC SIGNATURES AND RECORDS
15.1. The parties agree that this Agreement may be executed electronically.
15.2. Ambassador’s affirmative electronic acceptance, accompanied by a typed signature or other authorized electronic-signature method, constitutes an electronic signature intended to authenticate this Agreement.
15.3. Barcode may maintain electronic records of the accepted agreement version, signature, date and time, and other reasonably available authentication information.
15.4. Ambassador may access or download a copy of the accepted agreement through the Ambassador Portal.
15.5. Electronic records and signatures will be maintained in accordance with applicable law.
16. GENERAL PROVISIONS
16.1. Entire Agreement. This Agreement constitutes the entire agreement between the parties concerning Ambassador’s participation in the Campus Ambassador Program and supersedes prior discussions concerning the same subject matter.
16.2. Severability. If any provision is held unenforceable, the remaining provisions will remain effective to the extent permitted by law.
16.3. No Waiver. Failure to enforce a provision does not constitute a waiver of the right to enforce it subsequently.
16.4. Assignment. Ambassador may not assign this Agreement or any rights under it without Barcode’s prior written consent.
16.5. Governing Law. This Agreement will be governed by the laws of the State of Rhode Island, without regard to conflict-of-laws principles, except to the extent applicable law requires otherwise.
16.6. Notices. Written notices may be delivered through the parties’ designated email addresses or other agreed written communication channels.
16.7. Authority. Each party represents that it has authority to enter into this Agreement.
